The Floating Rate Notes are not redeemable prior to maturity except via special mandatory redemption.

Abbott estimated net proceeds of approximately $19,825,943,100 after underwriting discounts and estimated offering expenses, according to the prospectus supplement. Per-tranche underwriting discounts ranged from 0.250% (Floating Rate Notes and 2029 Notes) up to 0.875% (2056 and 2066 Notes). Abbott stated it intends to use the net proceeds, together with cash on hand and/or additional borrowings (which may include commercial paper issuances), to fund the cash consideration for its acquisition of Exact Sciences Corporation under an Agreement and Plan of Merger dated November 19, 2025 (Abbott, Exact Sciences and Badger Merger Sub I, Inc.), to repay certain existing indebtedness of Exact Sciences, to pay related fees and expenses, and for general corporate purposes, which may include repayment of other indebtedness. The notes are unsecured, unsubordinated obligations ranking equally with Abbott's other unsecured and unsubordinated debt.

The notes carry a special mandatory redemption feature: if the Exact Sciences acquisition is not consummated within five business days after the later of February 17, 2027 or any later merger-agreement "End Date," or if Abbott notifies the trustee it will not pursue the acquisition, Abbott must redeem all outstanding notes at 101% of principal plus accrued and unpaid interest to the special mandatory redemption date.
