Under the terms of the Merger Agreement, WBA stockholders received $11.45 in cash per share (the "Per Share Cash Consideration") plus one non-transferable Divested Asset Proceed Right ("DAP Right") per share, entitling the holder to a share of 70% of net proceeds (up to $3.00 per right, or approximately $2.7 billion in the aggregate) from any future monetization of WBA's debt and equity interests in VillageMD (comprising Village Medical, Summit Health and CityMD). The press release states the total transaction value represents up to $23.7 billion, based on the $11.45 cash consideration plus up to $3.00 per DAP Right, plus net debt, capital leases, the present value of opioid liability and the Everly settlement, less the fair value of all equity investments. The Cash Consideration represented a 29% premium, and the Total Consideration (including the maximum DAP Right value) represented a premium of up to 63%, to WBA's December 9, 2024 closing share price of $8.85, the day before media reports of a potential transaction first surfaced. WBA disclosed that, as the sole lender to VillageMD, it was owed $3.4 billion by VillageMD as of February 28, 2025 (accruing PIK interest at 19% per year), from which DAP Right payouts would ultimately be funded. No EV/EBITDA or other earnings multiple was disclosed in the sources reviewed.

Financing was fully committed and the transaction was not subject to a financing condition. According to the definitive proxy statement (DEFM14A) filed June 6, 2025, Parent estimated total funds necessary to complete the merger at approximately $18.8 billion, comprised of $13.33 billion of committed debt financing, $1.25 billion of committed preferred equity financing, and $2.5 billion of equity financing from the Equity Commitment Parties. Separately, WBA's Executive Chairman Stefano Pessina and his holding company, who together owned approximately 17% of WBA's outstanding common stock, entered into voting and reinvestment agreements under which they agreed to vote in favor of the merger and to reinvest all of their cash consideration (plus an incremental cash investment) into the acquiring company, retaining a significant equity stake in the post-merger company and approximately 17% of the DAP Rights.

CEO Tim Wentworth said the agreement "provides shareholders premium cash value, with the ability to benefit from additional value creation going forward from monetization of the VillageMD businesses," and that "meaningful value creation will take time, focus and change that is better managed as a private company." Sycamore Managing Director Stefan Kaluzny said the firm has "deep respect for WBA's talented and dedicated team members" and that the transaction "reflects our confidence in WBA's pharmacy-led model and essential role in driving better outcomes for patients, customers and communities." The Merger Agreement included a 35-day go-shop period during which Centerview Partners, as WBA's financial advisor, solicited alternative proposals; the sources reviewed do not identify any competing bidder or superior proposal arising from that process.

The Merger Agreement provided for a Company Termination Fee of $158 million (if WBA terminated to accept a superior proposal during the go-shop period or with an exempted person) or $316 million (in certain other specified circumstances, including a Board change of recommendation), and a Parent Termination Fee of $560 million payable by the Sycamore-affiliated Parent entities under specified circumstances, including failure to consummate the transaction or breach of representations and covenants.

The deal was approved by WBA stockholders at a Special Meeting held July 11, 2025, as reported in a Form 8-K filed that day. Of 865,560,675 shares outstanding as of the June 6, 2025 record date, 648,219,746 shares (approximately 74.89% of voting power) were represented at the meeting. The Merger Agreement Proposal required both majority approval of outstanding shares and majority approval of shares cast by Unaffiliated Stockholders (holders other than Pessina, John Lederer, and Parent affiliates); it passed with 626,190,387 votes for (of outstanding shares) and 478,357,418 votes for (of the 500,386,777 unaffiliated shares cast), against 20,140,186 and abstentions of 1,889,173 in each tally. A related nonbinding advisory Merger-Related Compensation Proposal also passed.

Because Pessina's reinvestment and continuing involvement made certain Sycamore-affiliated parties deemed affiliates of the Company, the transaction was structured and disclosed as a "going-private" transaction under SEC Rule 13e-3, with a Schedule 13E-3 (and amendments) filed by the Company and Sycamore-affiliated parties jointly with the DEFM14A.

Legal and financial advisors were identified in the March 6, 2025 press release. Centerview Partners LLC acted as financial advisor to WBA's Board and rendered a fairness opinion dated March 6, 2025 concluding that the Per Share Consideration was fair, from a financial point of view, to WBA stockholders other than Excluded and Dissenting Shares and the SP Investors; Morgan Stanley & Co. LLC also acted as a financial advisor and provided a fairness opinion to the WBA Board. Kirkland & Ellis LLP acted as legal advisor and Ropes & Gray LLP acted as healthcare regulatory counsel to WBA. On the Sycamore Partners side, UBS Investment Bank acted as lead financial advisor, Goldman Sachs and J.P. Morgan acted as co-lead financial advisors, and Citi and Wells Fargo acted as financial advisors; Davis Polk & Wardwell LLP acted as legal counsel and Bass, Berry & Sims PLC acted as healthcare regulatory counsel to Sycamore. Debevoise & Plimpton LLP acted as legal advisor to Stefano Pessina. Innisfree M&A Incorporated, as previously disclosed, served as proxy solicitor for WBA in connection with the Special Meeting.

Upon closing on August 28, 2025, WBA repaid and terminated all outstanding amounts under its Three-Year Revolving Credit Agreement (Bank of America, N.A., administrative agent), its Five-Year Revolving Credit Agreement (Wells Fargo Bank, National Association, administrative agent), and a Receivables Financing Agreement (PNC Bank, National Association, as administrative agent and sole swingline lender), releasing related security interests and liens. The company intended to file a Form 15 to terminate SEC registration of its common stock and notes following effectiveness of the Nasdaq Form 25 delisting. No synergy figures, pro forma EPS accretion/dilution, or combined-company financial targets were disclosed in the sources reviewed.
