Under the terms of the agreement, which has been approved by the boards of directors of both companies, ADI will pay Alif's stockholders $1.35 billion of upfront cash consideration, subject to the terms of the definitive agreement. In addition, ADI may pay incremental contingent consideration of up to $200 million, the terms and triggers of which were not detailed in the disclosed materials. No equity, exchange ratio, or stock component is involved; Alif is a private company, so no proxy statement, S-4, or tender offer filing applies to this transaction.

Strategically, ADI describes the deal as accelerating its delivery of what it calls "Physical Intelligence," enabling systems to sense, reason, and act locally in real time within the constraints of the physical world. Vincent Roche, CEO and Chair of ADI, said: "AI is moving out of the data center and into the physical world, where latency, power, and trust cannot be compromised... By combining Alif's digital processing capabilities with our leadership in multi-modal sensing, signal processing, power, connectivity, and software, we can empower customers to create entirely new classes of secure, intelligent systems that sense, reason, and act locally in real time." Reza Kazerounian, Co-Founder and President of Alif, said the company was "founded to reimagine what a microcontroller can be in the AI era," engineering "a heterogeneous architecture from the start, integrating dedicated low-power neural processing with connectivity, security, and intelligent power management." ADI says the combination will expand its addressable market across industrial, data center infrastructure, defense, energy, robotics, digital health, and wearable applications, and notes that Alif's silicon is already shipping in production with design wins across leading consumer and industrial customers.

On financing, ADI separately raised $3.0 billion through an underwritten public offering of senior notes across four tranches ($500 million of 5.100% notes due 2029, $500 million of 5.350% notes due 2031, $1.0 billion of 5.600% notes due 2033, and $1.0 billion of 5.750% notes due 2036), priced September 15, 2026 and issued September 17, 2026, with J.P. Morgan Securities LLC acting as representative of the underwriters. In the related 424B2 prospectus supplement filed September 16, 2026, ADI disclosed estimated net proceeds of approximately $2.969 billion and stated it intends to use the net proceeds for general corporate purposes, "which may include funding the upfront cash purchase price of the Alif Acquisition, capital expenditures, repurchases of our common stock under our stock repurchase program, repayment or refinancing of existing indebtedness, dividend payments and other acquisitions." The prospectus supplement also states there will be no special mandatory redemption of the notes if the Alif acquisition is not consummated, meaning the notes are not strictly conditioned on deal completion.

On the financial advisory side, PJT Partners is acting as financial advisor to ADI, the acquirer. For Alif, the target company, Qatalyst Partners is serving as financial advisor. Legal counsel is divided accordingly: Wachtell, Lipton, Rosen & Katz is serving as legal counsel to ADI, and DLA Piper is acting as legal counsel to Alif.

The transaction is expected to close before the end of calendar year 2026 (the fourth quarter of ADI's 2026 calendar year), subject to customary closing conditions, including the expiration (or termination) of the applicable waiting period, and any extension thereof, under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. No other specific closing conditions, termination fee, EPS accretion/dilution guidance, synergy targets, or pro forma financial detail for the combined company have been disclosed in the available filing materials. No merger/purchase agreement exhibit, investor presentation deck, merger proxy, or closing 8-K has been filed or located as of this writing.
