Under the original terms, each ASM share was exchangeable for 0.053 Energy Fuels common shares or CHESS Depositary Interests plus up to A$0.13 in cash (to be funded by a special ASM dividend), implying a value of A$1.60 per ASM share and a total transaction value of approximately A$447 million based on Energy Fuels' closing price on January 16, 2026, the date the exchange ratio was fixed. On March 12/13, 2026, the parties entered a Deed of Amendment and Restatement that replaced the contingent special dividend with a fixed A$0.13 per share cash consideration funded directly by Energy Fuels, with no other material changes to deal terms. ASM optionholders separately received A$0.50 per option under a concurrent option scheme of arrangement, which was conditioned on the share scheme becoming effective (but not vice versa). At closing, ASM shareholders as a group were expected to hold approximately 5.8% of Energy Fuels' outstanding shares, before dilution from any further Energy Fuels share issuances prior to closing.
At closing on August 28, 2026, Energy Fuels reported total Scheme Consideration of approximately US$243.4 million, comprising approximately US$217.2 million of share consideration (based on Energy Fuels' closing share price that day) and approximately US$26.2 million of cash consideration; 14,808,572 new Energy Fuels common shares were issued to ASM shareholders as share consideration, exempt from registration under Section 3(a)(10) of the U.S. Securities Act. A supplementary scheme booklet dated July 27, 2026 disclosed that, based on Energy Fuels' June 30, 2026 closing price of US$14.50 and an AUD:USD exchange rate of 0.6869, the scheme consideration implied an offer price of approximately A$1.249 per ASM share, representing a 72% premium to ASM's last closing price prior to the announcement date (A$0.725) and an 82% premium to ASM's 30-day volume-weighted average price prior to announcement (approximately A$0.687).
ASM's board unanimously recommended the schemes, subject to the independent expert continuing to conclude they were in ASM shareholders' and optionholders' best interests, absent a superior proposal. BDO Corporate Finance Australia Pty Ltd, acting as independent expert, issued an original Independent Expert's Report dated May 12, 2026 and, after Energy Fuels disclosed a series of subsequent corporate developments (described below), issued a Replacement Independent Expert's Report accompanying the supplementary scheme booklet, which continued to conclude that the share scheme was fair and reasonable and in the best interests of ASM shareholders, and that the option scheme was fair and reasonable and in the best interests of ASM optionholders, in each case absent a superior proposal. SRK Consulting (Australasia) Pty Ltd served as independent technical specialist supporting that report. MA Moelis Australia and Moelis & Company LLC acted as financial adviser to ASM, and Allen Overy Shearman Sterling acted as legal adviser to ASM, according to the consents section of the supplementary scheme booklet. No financial or legal adviser to Energy Fuels is named in the filings reviewed.
The strategic rationale centers on vertical integration of the rare earth supply chain. The supplementary scheme booklet states that the combination of Energy Fuels' upstream rare earth element (REE) mining and separation assets (including the White Mesa Mill in Utah and the Donald Project) with ASM's planned metals-and-alloys production (the Korean Metals Plant and planned American Metals Plant) is "intended to enable the Enlarged Combined Company" to internalize the upstream margin on rare earth feedstock currently paid to third-party suppliers and to reduce exposure to third-party supply chain disruptions and pricing volatility, "particularly in light of recent Chinese export restrictions on certain rare earth alloy forms." Around the same time ASM shareholders were asked to vote, Energy Fuels also disclosed, and the supplementary booklet described, several other corporate developments: a June 23, 2026 definitive merger agreement to acquire 100% of Vacuumschmelze GmbH & Co. KG (VAC), a magnet manufacturer, which the booklet said would "unlock[] the last stage of mine-to-magnet vertical integration for Energy Fuels" and, together with the ASM acquisition, "complete a fully western/western-allied-origin rare earth supply chain from feedstock projects through to finished permanent magnets"; a June 15, 2026 conditional US$725 million, 20-year financing commitment from the U.S. Office of Strategic Capital to fund expansion of White Mesa Mill processing capacity and a planned U.S. rare earth metals and alloys facility; and a June 23, 2026 commitment letter from Goldman Sachs Bank USA for a US$250 million senior secured term loan facility intended to help fund the VAC transaction's cash consideration. The VAC merger and related financings were not conditions to closing of the ASM scheme and were not assured; the booklet cautioned that "anticipated synergies, strategic benefits or financial returns anticipated by Energy Fuels in connection with the VAC Merger" might not be achieved or could take longer than expected. No dollar figure or percentage for cost synergies specific to the ASM transaction itself is disclosed in the filings reviewed.
Under the Scheme Implementation Deed, ASM was required to pay a reimbursement fee of A$4,470,000 (1.0% of transaction value at signing) to Energy Fuels if the deed were terminated in specified circumstances (including an adverse change in ASM board recommendation or endorsement of a competing proposal), and Energy Fuels was required to pay a reciprocal reverse reimbursement fee of the same amount (A$4,470,000) to ASM under specified reverse circumstances. Conditions to closing included approval by scheme shareholders under Australia's Corporations Act, approval by Australia's Foreign Investment Review Board, approval of the scheme by the Federal Court of Australia (Perth registry), the absence of prohibitive government orders from Australian, U.S., Canadian or South Korean authorities, issuance of a supportive independent expert report, and listing approvals for the new Energy Fuels shares on NYSE American, the Toronto Stock Exchange and CHESS Depositary Interests on the ASX. The share scheme meeting, originally scheduled earlier, was rescheduled to August 12, 2026 at 11:30am AWST per the supplementary booklet's revised timetable, with the second court hearing expected August 18, 2026 in Perth; the deal subsequently closed August 28, 2026, consistent with that revised timetable.
