Under the terms of the agreement, each share of EFSI common stock will be converted into the right to receive 2.0 shares of John Marshall common stock, a fixed exchange ratio with no collar disclosed. The investor presentation discloses implied multiples of 1.30 times EFSI's tangible book value and 11.5 times EFSI's 2027 estimated earnings per share (based on management estimates). The transaction is structured as 100% stock consideration; no cash component, contingent value right, or earn-out was disclosed. At closing, legacy John Marshall shareholders are expected to own approximately 56.6% of the combined company and legacy EFSI shareholders approximately 43.4%, assuming roughly 10.8 million new JMSB shares issued against 5,411,615 EFSI shares outstanding.
