Horace Mann said the RNIC purchase price includes approximately $10 million of excess statutory capital expected to remain in RNIC at closing, and that RNIC's existing Medicare supplement insurance policies are excluded from the acquisition and will be reinsured to MMO or otherwise transferred out of RNIC before closing. Both the ESI purchase price and the RNIC purchase price plus ceding commission are being funded with cash on hand and borrowings under Horace Mann's existing revolving credit facility; no new debt issuance or stock consideration has been disclosed. The agreements were approved by Horace Mann's Board of Directors. No price-to-earnings, price-to-book, or other valuation multiple has been disclosed for either transaction in the available filings.
Horace Mann stated the combined transactions are expected to add nearly $200 million in annual revenue, serve more than one million covered lives across approximately 7,000 employer relationships, and add more than 1,000 agents and brokers to its distribution network. The company said the transactions are expected to be immediately accretive to its core earnings per share and shareholder return on equity "by strengthening the company's earnings profile through a combination of high-margin insurance businesses, recurring fee-based revenue and enhanced capital efficiency," though no specific EPS accretion percentage or dollar figure was quantified in the filings reviewed. No cost synergy dollar amount, percentage of combined cost base, or phase-in timeline was disclosed.
Marita Zuraitis, President and CEO of Horace Mann, said in the companies' joint press release that "our strategy has always been centered on creating stronger customer relationships by providing meaningful solutions that meet our customer needs," adding that the businesses "build on our long-term strategy by enhancing our employer value proposition, broadening our distribution capabilities and expanding customer relationships." She further stated that "these transactions also reflect the disciplined approach we've consistently taken to capital allocation," calling the acquired businesses "both a natural strategic fit and an attractive financial investment." Tony Helton, President and CEO of Medical Mutual, said the divestiture "reflects our ongoing focus to align our portfolio with our long-term strategy," noting Medical Mutual will "continue to focus our investment and leadership attention on our core businesses."
On the financial advisory side, Raymond James & Associates acted as financial advisor to Horace Mann and Sherman & Company acted as financial advisor to Medical Mutual of Ohio, consistent with the prior summary. On the legal side, Eversheds Sutherland (US) LLP acted as legal counsel to Horace Mann, and Squire Patton Boggs acted as legal counsel for Medical Mutual of Ohio, both disclosed in the July 21, 2026 joint press release filed as Exhibit 99.2 to Horace Mann's Form 8-K filings.
The two transactions carry different closing timelines. The ESI acquisition was expected to close in the fourth quarter of 2026, subject to customary closing conditions, and Horace Mann confirmed in an October 1, 2026 Form 8-K that it had completed the ESI acquisition in an all-cash transaction for $115 million, subject to customary purchase price adjustments, making ESI a wholly owned subsidiary. The RNIC stock purchase and the related MML reinsurance transaction remain pending and are expected to close in the first quarter of 2027, subject to customary closing conditions and required regulatory approvals; as of the most recent filing reviewed, this leg of the transaction had not yet closed. No termination fee, negotiation background, or information about other bidders has been disclosed in any filing reviewed, as the transaction was not structured as a public merger requiring a proxy statement.
