Under the terms of the agreement, FSC shareholders were entitled to receive $14.0 million in cash in the aggregate plus 413,101 shares of Hawthorn common stock, with the cash consideration subject to reduction if FSC did not deliver at least $19.0 million of GAAP total shareholders' common equity, net of intangibles and certain merger costs, at closing. Hawthorn's financial advisor, Olsen Palmer LLC (FSC's fairness opinion provider), calculated implied transaction metrics of 1.35x FSC's tangible book value, 9.0x FSC's last-twelve-months net income, and a 2.2% core deposit premium, all as of March 31, 2026. In a comparable-transactions analysis of seven bank deals announced between January 2023 and April 2026 involving similarly sized Mid-Atlantic, Midwest, and Southeast targets, Olsen Palmer found a median deal value/tangible common equity of 1.27x and a median deal value/LTM earnings of 9.0x, placing the FSC deal roughly in line with recent precedent transactions on an earnings basis and slightly above median on a tangible book value basis.

Hawthorn disclosed in its announcement press release that the transaction is expected to be accretive to earnings per share by approximately 20% on a fully phased-in basis, with tangible book value dilution at closing of approximately 9.8% and an earnback period of approximately 3.0 years using the crossover method. Neither the press release nor the proxy statement/prospectus disclosed a specific dollar figure or percentage-of-expense-base target for cost savings or synergies; both documents reference the existence of expected "cost synergies" and "expense efficiencies" only in qualitative terms. On a pro forma basis, former FSC shareholders were expected to own approximately 5.6% of the combined company, with Hawthorn's pre-existing shareholders owning the remaining approximately 94.4%.

According to the background-of-the-merger disclosure in the S-4/A, FSC's board began exploring a sale or merger in early 2025 and engaged Northland (then The Capital Corp., now Northland Securities/Northland Capital Markets) in June 2025 as exclusive financial advisor. Northland contacted twelve potential partners, seven of which signed confidentiality agreements, and FSC received two written indications of interest in July 2025, including one from Hawthorn and one from an unnamed "Bank A." FSC's board favored Hawthorn's offer because it exceeded Bank A's all-cash bid in total value and offered FSC shareholders continued participation in community banking through publicly traded stock. The parties signed a non-binding letter of intent on August 25, 2025 valuing the deal at approximately $28 million (based on $19 million of FSC tangible common equity) with a consideration mix of 45%-55% cash and 45%-55% stock, before executing the definitive merger agreement on April 29, 2026. Olsen Palmer rendered its fairness opinion to the FSC board on April 27, 2026.

Combining the two companies was expected, based on financial data as of March 31, 2026, to create a company with approximately $2.2 billion in total assets, $1.7 billion in total loans, and $1.9 billion in total deposits, with the FSC acquisition adding approximately $384 million in total assets and nine branch locations in northern Missouri. Hawthorn's CEO Brent Giles said the deal reflected the company's "strategy of disciplined growth" and that "Farmers has developed strong customer relationships and a respected community presence that align closely with Hawthorn's values." FSC President Michael Poland said the transaction "represents a compelling opportunity for our customers, employees, and communities" and would allow FSC to "offer broader capabilities, enhanced technology, and additional financial solutions while preserving the local decision-making and service culture."

Raymond James & Associates, Inc. served as financial advisor to Hawthorn, with Hunton Andrews Kurth LLP as its legal counsel. Northland Capital Markets served as financial advisor to FSC, with Stinson LLP as its legal counsel, and Olsen Palmer LLC rendered the fairness opinion to FSC's board. The merger agreement provided for a termination fee of $1,120,000 payable by FSC under certain circumstances, and an outside termination date of January 31, 2027 (subject to extension). Completion was conditioned on FSC shareholder approval, Nasdaq listing of the shares to be issued, receipt of required regulatory approvals, and effectiveness of Hawthorn's Form S-4 registration statement, which was declared effective by the SEC on July 21, 2026.

The merger closed on September 3, 2026, as confirmed in a Form 8-K (Item 2.01) and accompanying press release. FSC's shareholders approved the deal at a special meeting held September 1, 2026. At closing, each share of FSC common stock was converted into the right to receive $73.7099 in cash and 2.1823 shares of Hawthorn common stock, for total aggregate consideration of 413,101 Hawthorn shares and $13,953,000 in cash (plus cash in lieu of fractional shares). Following the closing, the combined company reported total assets of approximately $2.2 billion, and Hawthorn Bank began operating twenty-seven banking locations across northern, central, western, and mid-Missouri plus one location in Kansas. Hawthorn stated that customer account conversion for former Farmers State Bank customers is anticipated to occur in the first quarter of 2027.
