Under the merger agreement, each outstanding share of HOFRE common stock (other than shares owned by HOFRE, by the buyer parties or their affiliates, and dissenting shares) was converted into the right to receive $0.90 in cash, without interest. Outstanding restricted stock units were cancelled and converted into the right to receive cash equal to the number of underlying shares multiplied by the $0.90 merger consideration, and public, private and Series X warrants became exercisable for the same $0.90-per-share cash amount (holders had 30 days after announcement of closing to exercise, though the filings note the $0.90 payout was less than the warrants' exercise prices). HOFRE's 7.00% Series A Cumulative Redeemable Preferred Stock and 7.00% Series C Convertible Preferred Stock were cancelled for no consideration. HOFRE had approximately 6,698,645 shares of common stock outstanding as of March 31, 2025; the definitive proxy statement discloses that HOFRE's net book value per share was approximately $8.50 as of that date, meaning the $0.90 deal price represented a steep discount to book value. The proxy does not disclose a single aggregate dollar figure for total transaction value, so enterprise/equity value is not stated in the filings reviewed. Parent funded the merger consideration through equity financing, per the closing 8-K; no new acquisition debt is disclosed.

The transaction's closing was conditioned on more than HOFRE shareholder approval. Per the announcement 8-K and the definitive proxy, closing required (i) Parent's receipt of at least $20 million of "Parent Acquisition Financing," (ii) consummation of a "Lease Restructuring" under which an IRG-affiliated investor that owns HOFRE's waterpark property would enter a new lease for that property and, following certain real estate transfers, the on-site hotel and stadium properties, (iii) consummation of additional project-level financing of not less than $125 million, (iv) receipt of specified third-party consents, and (v) resignations of HOFRE's directors and officers as requested by Parent. The merger agreement set an initial outside date of October 31, 2025, but the deal did not close until December 31, 2025; a series of 8-Ks between July 2025 and November 2025 (each disclosing new debt obligations under Item 2.03) indicate HOFRE continued to rely on interim financing, including loans from IRG, to fund operations while the financing conditions were satisfied. The proxy discloses that, as of its filing date, IRG had provided approximately $13.7 million of interim financing to HOFRE under a promissory note needed to fund payroll, tax obligations, near-term creditor obligations and vendor arrearages, and that this amount would have to be repaid in cash if the merger did not close. The company's board was advised that failure to complete the merger carried a risk of default, foreclosure by the waterpark landlord and other secured creditors on pledged collateral (including HOFRE's interest in the Tom Benson Hall of Fame Stadium entity and other real estate parcels), and potentially bankruptcy or insolvency.

The agreement was unanimously approved and recommended by a Special Committee of independent, disinterested directors, and subsequently approved by the full HOFRE board. Wedbush Securities Inc. acted as exclusive financial advisor to the Special Committee and delivered a fairness opinion dated May 7, 2025, concluding that the $0.90 per share price to be received by unaffiliated stockholders was fair from a financial point of view; the proxy notes Wedbush did not perform a discounted cash flow analysis because, absent the merger or another sale or financing transaction, the Special Committee directed Wedbush to assume HOFRE would not continue as a going concern, and that no explicit going-concern or net-book-value-based valuation was used by the purchaser filing parties because book value was viewed as reflecting historical cost rather than current value. Brown Gibbons Lang served as exclusive financial advisor to IRG and its affiliates. Hunton Andrews Kurth LLP served as legal counsel to the Special Committee, and Bryan Cave Leighton Paisner LLP served as legal counsel to IRG. HOFRE's stockholders were restricted from soliciting competing acquisition proposals after May 7, 2025, and the proxy's "Background of the Merger" section describes a years-long history of HOFRE depending on IRG/Lichter-affiliated financing (loan guarantees, promissory notes, preferred stock purchases, and loan purchases/extensions dating back to 2020-2022) rather than describing a competitive sale process or other bidders; it does not identify any alternative acquirer considered.

The merger agreement provided termination rights for either party if closing did not occur by the original October 31, 2025 outside date (subject to customary exceptions), for failure to obtain stockholder approval, for uncured breaches, or for a board recommendation change. HOFRE agreed to pay Parent a $1,000,000 termination fee in cash if it terminated to accept a superior proposal or if Parent terminated following a board recommendation change or a material breach of the no-solicitation covenant. HOFRE's stockholders approved adoption of the merger agreement at a reconvened special meeting on September 24, 2025 (initially convened September 16, 2025), with 3,396,118 shares voting for, 733,949 against, and 42,206 abstaining, out of 4,172,273 shares (62.1% of voting power) represented at the meeting, as reported in an 8-K filed September 26, 2025. The merger closed on December 31, 2025: Omaha Merger Sub, Inc. merged with and into HOFRE, HOFRE survived as a wholly owned subsidiary of Parent, HOFRE's charter and bylaws were amended and restated, several directors (Karl L. Holz, Marcus LaMarr Allen, Anthony J. Buzzelli, David Dennis, Mary Owen, and Kimberly K. Schaefer) resigned from the board, and the company requested that OTC Markets suspend trading of its common stock before the open on January 2, 2026, with HOFRE intending to file a Form 15 to deregister its shares and warrants and suspend its SEC reporting obligations.
