Bill Magnuson, Braze's cofounder and CEO, said in the announcement that "with Braze's planned acquisition of OfferFit, our complementary products and teams will come together to define the next chapter of the evolution of Customer Engagement with AI," describing a vision in which "reinforcement learning and modern transformer architectures are wielded within the Braze product ecosystem to drive a vision where Agentic AI automatically understands customers in greater depth." George Khachatryan, OfferFit's cofounder and CEO, said OfferFit "replaces the manual work of A/B testing with reinforcement learning agents that autonomously experiment and learn optimal actions," and that the companies, already technology partners, saw clear synergies in joining forces to "leverage Braze's product ecosystem and global scale to enhance the existing OfferFit product, while also augmenting Project Catalyst and BrazeAI overall." The 8-K separately noted the deal would let Braze "more deeply integrate the existing sophisticated, multi-agent approach from OfferFit into its broader platform" alongside its internally developed Project Catalyst AI agent initiative.
At signing, Braze disclosed it would issue approximately 3.80 million shares of Class A common stock as part of the consideration, subject to adjustment, with a portion held back in escrows pursuant to the merger agreement. The stock consideration was structured as a private placement exempt from registration under Section 4(a)(2) of the Securities Act and Rule 506(b), with resale registration rights to be provided after closing. Shares issued to sellers were subject to a 12-month lock-up, vesting one half at six months, one quarter at nine months, and the final quarter at twelve months post-closing; sellers who held OfferFit preferred stock and were not employees, officers, directors or individual independent contractors of the company were instead subject to a four-week lock-up vesting in equal quarterly installments over that period. The merger agreement contained customary representations, warranties, covenants and post-closing indemnification obligations, and the transaction was expected to close within Braze's fiscal quarter ending July 31, 2025, subject to customary closing conditions.
The acquisition closed on June 2, 2025, according to Braze's Form 10-Q for the quarter ended July 31, 2025. At closing, the total preliminary purchase price consideration was $304.0 million, consisting of $195.3 million in cash and $108.7 million in Braze Class A common stock issuances, a figure that differs from the $325 million headline value disclosed at signing (the 10-Q purchase price accounting reflects adjustments, including allocating a portion of replacement award fair value to post-combination compensation expense rather than consideration transferred). Braze recorded estimated fair value of negative $1.9 million of net tangible assets acquired, $66.6 million of identifiable intangible assets, and $239.3 million of goodwill, which the company said is not deductible for tax purposes and is "primarily attributable to expected synergies to the Company's ongoing Artificial Intelligence initiatives." The intangible assets comprised developed technology of $56.7 million (amortized over six years, valued using an excess earnings method), customer relationships of $9.0 million (amortized over six years, valued using the with-and-without method), and trademarks of $0.9 million (amortized over two years, valued using a relief-of-royalty method). Braze also recorded indemnification escrows of $6.0 million and a working capital escrow of $1.3 million within accrued expenses and other current liabilities, both subject to release following post-closing claim and adjustment procedures. In connection with the deal, Braze issued replacement restricted stock awards to OfferFit equity holders with a total fair value of approximately $67.1 million as of the acquisition date, a portion of which was attributed to consideration transferred and the remainder treated as post-combination compensation expense. Acquisition-related costs, expensed as incurred within general and administrative expense, totaled $1.4 million for the quarter and $11.4 million for the six months ended July 31, 2025. OfferFit's post-acquisition results of operations were described by Braze as not material to its consolidated financial statements for the six months ended July 31, 2025. No separate closing 8-K or purchase-price press release was identified beyond this 10-Q disclosure.
On the financial advisory side, Goldman Sachs & Co. LLC acted as financial advisor to Braze, while Atlas Technology Group acted as financial advisor to OfferFit. Davis Polk & Wardwell LLP acted as legal advisor to Braze, and Latham & Watkins LLP acted as legal advisor to OfferFit.
No merger proxy, S-4, or tender offer filing was identified for this transaction, consistent with its structure as a privately negotiated acquisition of a private company rather than a public-company merger requiring shareholder votes or registered securities. Exchange ratio, per-share pricing, financing sources for the cash portion, termination fee provisions, and any earn-out or contingent consideration terms beyond the described escrows were not disclosed in the filings reviewed.
