Sun Communities described the sale as enabling it to become a pure-play North American MH and RV owner-operator. Following the divestiture, the company expected North American MH and RV real property net operating income to represent approximately 95% of total NOI, which it said would create more predictable revenue streams and an improved growth and margin profile. CEO Charles Young said at announcement, "This exciting transaction allows us to focus on and drive growth through our core North American MH and RV platform." Park Holidays CEO Jeff Sills said, "We are grateful for Sun's partnership and support over the past several years."
The purchase agreement included customary representations and warranties, with representation and warranty insurance serving as the buyer's primary recourse, and imposed two-year post-closing non-solicitation and non-competition provisions on the sellers with respect to Park Holidays' UK business. Because the agreed consideration was below Sun Communities' estimated net asset value for the UK business, the company disclosed in its Item 2.06 notice that it expected non-cash impairment-related charges of approximately $1.0 billion to $1.1 billion, to be recorded across the quarters ended June 30 and September 30, 2026. In its Q2 2026 earnings release (Form 8-K filed July 27, 2026), Sun Communities confirmed it had recorded a non-cash valuation allowance charge of $1.1 billion in the second quarter of 2026 to write down the UK business to estimated fair value less costs to sell upon its classification as held for sale and discontinued operations; that release also referenced slightly updated base consideration of £785.7 million (approximately $1.04 billion).
Lazard Frères & Co. LLC served as lead financial advisor to Sun Communities, and Jones Day and Taft Stettinius & Hollister LLP served as legal advisors to the company. Rothschild & Co served as financial advisor to Aermont, and Macfarlanes acted as legal advisor to Aermont. Closing was conditioned on approval from the UK Financial Conduct Authority (required because of Park Holidays' loan brokering activities) and other customary closing conditions; risk factors filed as Exhibit 99.2 to the May 21, 2026 Form 8-K flagged the possibility that the transaction could be delayed or fail to close, along with risks of client decision delays, employee retention issues, and interim operating covenants under the purchase agreement pending closing.
The transaction closed on September 22, 2026. Sun Communities disclosed in a Form 8-K filed September 23, 2026 (Item 2.01) that Panther Bidco Limited paid cash consideration of approximately £772.3 million (approximately $1.05 billion) at closing, which translated to net proceeds of approximately $1.03 billion to Sun Communities after locked-box and transaction cost adjustments. The company said it intends to use the proceeds primarily for share repurchases, debt reduction, and general corporate purposes, and noted that through September 21, 2026 it had already repurchased approximately 3.5 million shares for roughly $425 million year-to-date. At closing, CEO Charles Young said, "The sale of Park Holidays positions Sun to execute on our strategy of driving long-term, durable growth through our best-in-class North American MH and RV platform, backed by a flexible, low-leverage balance sheet."
Unaudited pro forma financial statements filed as Exhibit 99.2 to the September 23, 2026 Form 8-K show the transaction eliminating approximately $1,446.7 million of assets (previously classified as held for sale/discontinued operations) and approximately $428.9 million of associated liabilities from Sun Communities' balance sheet as of June 30, 2026, reducing pro forma total assets from $10,867.6 million to $10,453.7 million. The pro forma materials show an estimated incremental loss of approximately $10.4 million tied to the change in valuation allowance and disposal, reflecting the difference between final net proceeds and the net carrying value of assets eliminated; no separate EBITDA or NOI figure specific to Park Holidays was disclosed in the pro forma statements. As of June 30, 2026, Sun Communities reported owning, operating, or holding interests in 455 properties comprising approximately 156,130 developed sites across its North American MH and RV portfolio.
