Under the merger agreement, TrueCar stockholders received $2.55 per share in cash, for an aggregate equity value of approximately $227 million based on then-outstanding shares. The definitive merger proxy statement disclosed that TrueCar's closing stock price on October 13, 2025 (the last trading day before announcement) was $1.43 per share, implying the $2.55 offer was roughly 78 percent above that level, though the proxy itself does not state a premium percentage explicitly. The $2.55 price was below TrueCar's 52-week high closing price of $4.62 as of October 13, 2025.
The transaction followed a strategic review process that began in September 2024, when Painter's Fair Holdings first approached then-CEO Jantoon Reigersman about acquiring the company. Fair Holdings' proposed price moved considerably during negotiations: an initial unquantified-premium proposal in September 2024 was followed by a $4.63-per-share proposal on October 1, 2024, before the price was renegotiated downward through 2025 amid financing uncertainty, reaching $2.58 per share (based on debt-financing capacity) in September 2025, then $2.50 per share on October 3, 2025, before settling at the final $2.55 per share on October 4, 2025. During the process, TrueCar's financial advisor Morgan Stanley & Co. LLC solicited interest from other potential counterparties referred to in the proxy as Party A, Party B, Party C, Party D, Party E and Stockholder A; several requested more time for diligence, and ultimately none submitted a superior proposal, leaving Fair Holdings as the sole bidder that reached a signed agreement.
Morgan Stanley rendered a fairness opinion dated October 14, 2025 concluding the merger consideration was fair, from a financial point of view, to TrueCar stockholders (other than excluded shares). Its selected comparable company analysis, using CarGurus, Inc. and Cars.com Inc. as the core peer set, applied AV/2026E Adjusted EBITDA multiples of 5.0x to 10.0x, implying per-share values of $1.95 to $2.90 using management projections and $1.25 to $1.45 using Street consensus projections. A discounted cash flow analysis, using a 2.0%-4.0% perpetuity growth rate and a 21.0%-25.0% discount rate on management-case projections, implied a per-share equity value range of $2.35 to $2.80. For reference only, Morgan Stanley also noted broker price targets (12-month, undiscounted range of $2.00-$3.25, discounted to $1.63-$2.64) and a precedent premiums paid analysis applying a 20%-51% premium range to the $1.43 pre-announcement closing price, implying $1.70-$2.15 per share.
TrueCar management's internal projections, prepared in October 2025 on a standalone basis, forecasted revenue growing from $184 million in 2025E to $461 million in 2029E, and Adjusted EBITDA moving from negative $3 million in 2025E to $101 million in 2029E, including contributions from the company's TrueCar+ initiative. These figures were presented to illustrate standalone prospects considered by the board and Morgan Stanley and do not reflect any post-merger operating plan.
The transaction was financed through a combination of an equity commitment from an affiliate of a large dealer group (the Investor) and cash on TrueCar's balance sheet. Per an Equity Commitment Letter dated October 14, 2025, the Investor committed $164 million of equity financing to Fair Holdings and deposited $15 million into escrow as security for a reverse termination fee. The merger agreement provided for a Company Termination Fee of $8.0 million payable by TrueCar to Fair Holdings in specified circumstances (reduced to $4.0 million for a superior proposal accepted during or shortly after a 30-day go-shop period), and a Parent Termination Fee of $15.0 million payable by Fair Holdings to TrueCar if the buyer failed to close or breached the agreement in specified ways, which was pre-funded into escrow at signing. TrueCar's largest stockholder, Caledonia (Private) Investments Pty Limited and Caledonia US, LP, signed a support agreement committing to vote in favor of the deal.
At the January 21, 2026 closing, in addition to the per-share cash consideration, outstanding vested RSUs and qualifying performance stock units were cashed out at the $2.55 merger consideration per underlying share, in-the-money stock options were cashed out net of exercise price, and unvested RSUs were converted into contingent cash awards that continue to vest on their original schedules. Separately, Auto Holdings, LLC, an affiliate of AutoNation, Inc., entered into a rollover and contribution agreement with Fair Holdings under which it contributed its TrueCar shares in exchange for equity in Fair Holdings rather than cash, becoming part of the post-closing ownership group.
TrueCar stockholders approved the merger at a December 22, 2025 special meeting, with approximately 78.83 percent of outstanding shares represented and the merger proposal passing with 69,723,284 shares in favor versus 84,731 against. The merger agreement's outside (long-stop) date was February 28, 2026, and the deal closed ahead of that date. Following closing, TrueCar's common stock ceased trading on Nasdaq effective the close of business on January 21, 2026, and the company filed to deregister its shares and suspend SEC reporting obligations. Scott Painter returned as CEO of TrueCar and also serves as CEO of parent Fair Holdings, Inc.; prior board members Barbara A. Carbone, Jantoon E. Reigersman, Brendan L. Harrington, Faye M. Iosotaluno and Diego A. Rodriguez resigned, and Painter became sole director. The post-closing ownership and partner group named in the closing announcement includes PenFed Credit Union, Zurich North America, AutoNation, Atlantic Coast Automotive, Impel AI, ID.me, CRIF and In The Car; PenFed's CEO James Schenck joined the Fair Holdings board.
Morgan Stanley & Co. LLC acted as exclusive financial advisor and rendered the fairness opinion to TrueCar's board; Alston & Bird LLP acted as lead legal counsel to TrueCar; Joele Frank, Wilkinson Brimmer Katcher served as TrueCar's strategic communications advisor. B. Riley Securities, Inc. acted as financial advisor to Fair Holdings, and Perkins Coie LLP acted as legal counsel to Fair Holdings. Greenberg Traurig LLP acted as counsel to the Investor providing the equity financing commitment.
