Under the Purchase Agreement, Med-Metrix agreed to pay an aggregate base purchase price of $147 million in cash for all of the equity interests of VitalWare, LLC, subject to customary adjustments for cash, indebtedness, net working capital and transaction expenses. The deal is structured as an all-cash divestiture of a wholly owned subsidiary rather than a merger; no exchange ratio, EV/EBITDA multiple, or P/E multiple was disclosed in the filings reviewed. Health Catalyst's stockholders were not required to approve the transaction.

Health Catalyst used the net cash proceeds from the sale, combined with cash on hand, to voluntarily prepay in full and terminate its senior secured credit facility with Silver Point Finance, LLC as administrative agent. The repayment totaled approximately $163.7 million, consisting of a $122,812,500 initial term loan balance, a $37,134,500 delayed-draw facility balance, a $3,198,940 prepayment premium, and $548,022 of accrued and unpaid interest, plus other fees. The company stated that retiring the credit facility eliminates approximately $19 million in annual GAAP interest expense, based on annualizing first-half 2026 interest costs. No new financing or stock consideration was part of the transaction; it was funded entirely with the buyer's cash payment.

No cost synergies were disclosed, as this is a sale of a non-core business line rather than a combination of two companies integrating operations. Health Catalyst instead framed the transaction as sharpening its strategic focus: the company said the divestiture lets it concentrate capital and investment on its core technology and AI-driven products, built on what it describes as 18 years of proprietary healthcare improvement data and $2.8 billion in documented outcomes across more than 380 client case studies.

Unaudited pro forma financial statements filed as Exhibit 99.3 to the August 6, 2026 Form 8-K show the transaction's financial impact. Pro forma for the disposition and debt repayment as if they had occurred January 1, 2025, Health Catalyst's loss from operations for the year ended December 31, 2025 improves from a historical operating loss (which included a $110.2 million goodwill and intangible asset impairment) to a pro forma operating loss of $107.7 million, aided by a $65.9 million pro forma gain on sale recognized as a transaction accounting adjustment. Interest expense is reduced by an estimated $22.1 million for the year ended December 31, 2025 and $9.4 million for the six months ended June 30, 2026, reflecting the elimination of the credit facility. The pro forma balance sheet as of June 30, 2026 shows total assets declining from $358.6 million historical to $245.99 million pro forma, with cash of $39.4 million pro forma after giving effect to both the $145.2 million of net proceeds received and the approximately $166.4 million used for the debt repayment and related adjustments. Health Catalyst stated the divestiture does not meet the criteria for discontinued-operations presentation under U.S. GAAP because it does not represent a strategic shift with a major effect on the company's operations or financial results, and the gain on sale does not create a current income tax expense given the company's net operating loss carryforwards (approximately $787.8 million federal and $647.7 million state as of December 31, 2025, per its 10-K).

Closing conditions disclosed in the June 4, 2026 8-K included expiration or termination of the Hart-Scott-Rodino Antitrust Improvement Act waiting period, absence of any law or order restraining the transaction, acceptance of qualifying employment offers by at least 80% of VitalWare employees receiving offers from the buyer, and accuracy of customary representations and warranties. The agreement set an Outside Date of December 4, 2026 (with a potential three-month automatic extension to obtain required regulatory approvals), after which either party could terminate if closing had not occurred, along with termination rights for mutual agreement, illegality, or uncured material breach after 60 days' notice. All conditions were satisfied and the transaction closed on July 31, 2026, roughly seven weeks after signing. Concurrently with closing, Health Catalyst and Med-Metrix entered into a transition services agreement under which Health Catalyst will provide certain transition services related to VitalWare for up to six months following closing.

Raymond James served as exclusive financial advisor to Health Catalyst, and Latham & Watkins LLP served as outside legal counsel to Health Catalyst, per the company's press releases announcing both signing and closing. No financial or legal advisors to Med-Metrix were identified in the filings reviewed.
